Terms of Use

1. Acceptance of Terms

By accessing or using any website, form, portal, or digital service operated by Bar-Key Bartending LLC ("Bar-Key," "we," "us," or "our"), including but not limited to the Wedding Instant Estimate form, Client Portal, and contract signing pages (collectively, the "Services"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Services.

2. Service Description

Bar-Key provides mobile bartending and event bar services in the Oklahoma City metropolitan area. Our digital Services allow prospective and current clients to:

• Obtain approximate wedding and event estimates
• Access personalized client portals
• Review and electronically sign contracts
• Make payments through integrated payment processors

All estimates generated through our Services are approximate and do not constitute a binding quote, offer, or contract. Final pricing is confirmed only through a signed service agreement between you and Bar-Key Bartending LLC.

3. Proprietary Information and Trade Secrets

This proprietary information is protected by applicable trade secret laws, including the Oklahoma Uniform Trade Secrets Act (Okla. Stat. tit. 78, Sections 85-95) and the federal Defend Trade Secrets Act (18 U.S.C. Section 1836). Unauthorized disclosure, reproduction, or misappropriation of this information may result in civil liability and criminal penalties.

3A. SMS and Voice Communications

By checking the SMS consent box on any Bar-Key form, you agree to receive voice calls and SMS text messages at the phone number you provide. These messages may include consultation scheduling, event planning updates, reminders, contract and invoice notifications, and general client service communications.

Consent to receive SMS and voice communications is not a condition of purchase or use of our services.

Standard message and data rates may apply. Message frequency varies, up to 10 messages per month.

You may opt out at any time by replying STOP to any SMS message. Reply HELP for help.

4. Prohibited Activities

You agree NOT to engage in any of the following activities:

• Automated Data Collection: Using bots, scrapers, crawlers, spiders, or any automated means to access, extract, copy, or collect data from the Services
• Data Mining: Systematically downloading, storing, or reproducing pricing data, business information, or other content from the Services
• AI/ML Training: Using any content, data, or information obtained from the Services to train, fine-tune, or develop artificial intelligence or machine learning models
• Reproduction: Copying, reproducing, republishing, or distributing pricing information, estimates, or other proprietary content for any commercial purpose
• Reverse Engineering: Attempting to reverse engineer, decompile, or derive the underlying algorithms, formulas, or business logic used in our pricing or estimation tools
• Competitive Use: Using information obtained from the Services to directly or indirectly compete with Bar-Key Bartending LLC
• Abuse: Submitting false, fraudulent, or automated form submissions, or otherwise interfering with the normal operation of the Services

5. Computer Fraud and Abuse Act

Unauthorized access to our computer systems, including but not limited to circumventing access controls, automated scraping in violation of these Terms, or exceeding authorized access to extract data, may constitute violations of the Computer Fraud and Abuse Act (18 U.S.C. Section 1030) and analogous state laws. Bar-Key reserves the right to pursue all available civil and criminal remedies against violators.

6. Digital Millennium Copyright Act

The content on our Services, including text, graphics, design elements, and software, is protected by copyright under the Digital Millennium Copyright Act (17 U.S.C. Section 512) and applicable copyright laws. Unauthorized reproduction or distribution of copyrighted material may result in civil and criminal penalties.

7. Indemnification

You agree to indemnify, defend, and hold harmless Bar-Key Bartending LLC, its members, managers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any third-party rights.

8. Limitation of Liability

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. BAR-KEY BARTENDING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES. IN NO EVENT SHALL BAR-KEY'S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100).

Estimates are approximate and may vary based on final event details, market conditions, and availability. Bar-Key is not responsible for any decisions made based on estimate information prior to execution of a signed service agreement.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Oklahoma County, Oklahoma.

10. Changes to Terms

Bar-Key reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Services with an updated "Last Updated" date. Your continued use of the Services following any changes constitutes acceptance of the modified Terms.
